Since 2016, UK companies have had to provide details of the individuals who ultimately control them to the UK companies register. These individuals are referred to in the UK as ‘people with significant control’. An alternative term sometimes used is ‘beneficial owners’. Beneficial owners can hold rights to influence or control companies because they own shares. However, the beneficial owners of a company do not only include its legal owners, but also include individuals who ultimately control a company through other means. For example, the constitution of a company can set out that some individuals have rights to appoint the majority of the board of directors.
